The Company's Quarterly Report on Form 10-Q for the quarter ended July 31, 2010 cannot be filed within the prescribed time period because the Company requires additional time for compilation and review to insure adequate disclosure of certain information required to be included in the Form 10-Q. The Company intends to file the report on or before the fifth calendar day following the prescribed due date.

For the three month period, the registrant is expected to report a minimal profit of $465,763, while for the nine month period, registrant is expected to report a loss of approximately $4.4 million, compared to losses of $771,225 and $4,206,995, respectively, for the same prior year periods.  These changes are due primarily to overall losses on changes in the fair value of derivative liability. The operating income for the three and nine months ended July31, 2010 is expected to be losses of approximately $652,393 and $1 million respectively compared to losses of $361,046 and $2,221,765 respectively for the same periods in 2009.
