Item 7.01

Regulation FD Disclosure.

On June 11, 2024, Equitable Holdings, Inc. (the “Company”) issued $600,000,000 of Pre-capitalized Trust Securities (“P-Caps”) maturing on May 15, 2054.

The combined financial impact of the Tender Offer (as defined below) and the P-Caps issuance is estimated to be approximately $10 million after-tax in the second quarter of 2024, which will be included in net income and non-GAAP operating earnings and reported in Corporate & Other. The ongoing impact on net income and non-GAAP operating earnings will be less than $1 million after-tax on an annual basis.

Other Events.

On June 17, 2024, the Company issued a press release announcing the early results and upsizing of the previously announced cash tender offer to purchase certain of its existing debt securities (the “Tender Offer”). A copy of the press release is filed as Exhibit 99.1 to this report and is incorporated by reference herein.

On June 17, 2024, the Company issued a press release announcing the pricing terms of the Tender Offer. A copy of the press release is filed as Exhibit 99.2 to this report and is incorporated by reference herein.
