On September 16, 2014, Fresenius Medical Care AG & Co. KGaA (the “Company”) announced in Germany that it had placed €400 million aggregate principal amount of equity-neutral convertible bonds.  Attached as Exhibit 99.1 is a copy of the Company’s announcement of the offering, which has been edited for filing in the United States to comply with applicable limitations on disclosure of unregistered offerings.
