Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On April 18, 2019, the board of directors (the Board) of the Federal Home Loan Bank of Boston (the Bank) approved the amended and restated bylaws of the Bank (as amended and restated, the Bylaws), attached hereto as Exhibit 3.2, and incorporated herein by reference. Changes to the Bylaws include:

clarifying that annual meetings of the Bank are not required to be held;
providing that special meetings of the stockholders may be called by the Board Chair, in addition to the Chief Executive Officer or a majority of the directors then in office;
clarifying that the Governance Committee of the Board will nominate for Independent Director only a candidate who meets the eligibility requirements set forth in the regulations of the Federal Housing Finance Agency (FHFA) and has timely submitted an application in the form promulgated by the FHFA; and
providing that special meetings of a Board committee may, in the absence of the committee Chair, be called by the committee Vice Chair, in addition to the Board Chair or the Chief Executive Officer.

Additional non-substantive or minor clarifying changes to the Bylaws were also approved.
