Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 2, 2010, the Federal Home Loan Bank of Chicago (the "Bank") received notification from Mr. James D. Ericson that he is resigning from the Bank's Board of Directors (the "Board"), effective immediately. Mr. Ericson has served on the Board as an independent director since January 1, 2009, and his current term is scheduled to expire on December 31, 2013. The Board will appoint another independent director to fill Mr. Ericson's unexpired term in accordance with the rules governing the election of Bank directors.  For more information on the required qualifications for independent directors, see "Part III - Item 10 - Directors, Executive Officers and Corporate Governance" in the Bank's 2009 Annual Report on Form 10-K.
