thereof, could not be filed within the prescribed period.

The report of Cantop Ventures, Inc. on Form 10-KSB could not be filed within the
prescribed time period because the Company is experiencing delays in the
collection and processing of financial and other information required to be
included in the Form 10-KSB. As a result, the Company could not solicit and
obtain the necessary review and signatures thereto in a timely fashion prior to
the due date of the report.
