The following information is provided pursuant to Item 2.05 of Form 8-K, “Costs Associated with Exit or Disposal Activities.”

Section 2 – Financial Information

 

Item 2.05 – Costs Associated with Exit or Disposal Activities.

On January 5, 2010, Affinia Group Intermediate Holdings Inc. (the “Company”) decided to close its distribution operations located in Mississauga, Ontario, Canada. The operations are expected to close by the end of the first quarter of 2010. The closure of this operation is part of the Company’s continuing effort to improve its distribution system and serve the replacement parts market effectively and efficiently. Replacement parts previously shipped from the Company’s Mississauga facility will, during the first quarter of 2010, begin to be shipped from the Company’s facilities in McHenry, IL and Modesto, CA. These actions are expected to result in the Company incurring pre-tax charges of approximately $5.5 million, of which approximately $1.6 million will be future cash expenditures. The charges are comprised of employee severance costs of $1.0 million, lease termination costs of $2.2 million and other trailing liabilities of $2.3 million.
