The Meeting will be held for the purpose of voting on the following proposals, each of which the Board of Directors recommends that you vote FOR: To elect five directors to serve until the 2015 Annual Meeting of Stockholders of the Company and until their respective successors are duly elected and qualify; To ratify the appointment of KPMG LLP as the independent registered public accounting firm for the Company for fiscal year 2014; 3. Amendment of Company’s charter to eliminate the Company’s ability to redeem securities held by stockholders who make a Non-Compliant Tender Offer (as defined in the Company’s charter).
