Item 8.01 - Other Events

On February 23, 2024, Workday, Inc. (“Workday”) entered into a definitive agreement (the “Merger Agreement”) by and among Workday, HiredScore, Inc. (“HiredScore”), and certain other parties thereto. Pursuant to the Merger Agreement, Workday will, subject to the satisfaction of certain conditions and receipt of required regulatory approvals, acquire all of the outstanding capital stock of HiredScore. A copy of the press release announcing the entering into of the Merger Agreement is attached hereto as Exhibit 99.1.

Details Regarding Proposed Acquisition of HiredScore
The transaction is expected to close in the first quarter of Workday’s fiscal year 2025, ending April 30, 2024, subject to the satisfaction of customary closing conditions, including required regulatory approvals.
