Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 26, 2022, the Compensation and Workforce Committee of the Board of Directors of TrueCar, Inc. (the “Company”) approved an increase to the annual base salary of Jantoon Reigersman, the Company’s Chief Financial Officer, following the previously announced appointment of Mr. Reigersman as the Company’s Chief Operating Officer, a position in which Mr. Reigersman is serving in addition to his continuing role as Chief Financial Officer. Effective April 1, 2022, Mr. Reigersman’s annual base salary shall increase from $425,000 to $450,000.
