Zoo Entertainment, Inc. (the “Registrant”) files this report for a fifteen-day extension, from March 31, 2011 to April 15, 2011, for filing its Annual Report on Form 10-K for the year ended December 31, 2010 (“Form 10-K”). The Registrant has been unable to complete its evaluation and analysis in certain key areas, including determination of level of impairment of intangible assets. These evaluations and analyses and their implication on the Registrant’s financial statements have caused the Registrant to be unable to timely file, without unreasonable effort and expense, its Annual Report on Form 10-K for the year ended December 31, 2010. It is anticipated that the Form 10-K, along with the audited financial statements, will be filed no later than the fifteenth calendar day following the prescribed due date.
