ITEM 5.03 AMENDMENTS TO ARTICLES OF INCORPORATION OR BY-LAWS; CHANGE IN FISCAL YEAR.

On August 26, 2009, Zoo Entertainment, Inc. (the “Company”) filed with the Secretary of State of the State of Delaware a Certificate of Amendment to its Certificate of Incorporation (the “Certificate of Amendment”).  The Certificate of Amendment increased the Company’s authorized shares of common stock, par value $0.001 per share, from 75,000,000 shares to 250,000,000 shares.   The Certificate of Amendment was approved by the Company’s Board of Directors on June 26, 2009, and by the Company’s stockholders holding a majority of the Company’s issued and outstanding shares of common stock on June 26, 2009.
