Item 8.01. Other Events

On December 11, 2012, WebMD Health Corp. issued a press release announcing a series of actions intended to streamline its business and reduce annual operating expenses, which had been approved by the Board of Directors of WebMD on December 7, 2012. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
