Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On December 17, 2009, the Board of Directors ("Board") of the Federal Home Loan Bank of Topeka ("FHLBank") approved amendments to FHLBank’s Bylaws. Such amendments became effective on the same date.

The amendments made to Section 4.4 clarify the process to be used when consulting with FHLBank’s Affordable Housing Advisory Council on the nomination of independent directors, as required by the FHLBank Act, as amended by the Housing and Economic Recovery Act of 2008, and the regulations of the Federal Housing Finance Agency. The amendments also include factors the Board may consider in making independent director nominations.

A copy of FHLBank’s amended Bylaws is attached hereto as Exhibit 3.2 and is incorporated herein by reference.





Item 7.01 Regulation FD Disclosure.

On December 18, 2009, the FHLBank sent a message to members of the FHLBank announcing the declaration of a dividend for the quarter ended December 31, 2009. A copy of the message is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
