The description of the Common Stock, par value $0.0001 per share, of Iradimed Corporation, a Delaware corporation (the “Registrant”), to be registered hereunder that is contained in the section entitled “Description of Capital Stock” in the Registrant’s registration statement on Form S-1 (File No. 333-196875), as initially filed with the Securities and Exchange Commission (the “Commission”) on June 18, 2014, as amended (the “Registration Statement”), is incorporated by reference into this Form 8-A.  Any prospectus that constitutes part of the Registration Statement and that is subsequently filed by the Registrant with the Commission pursuant to Rule 424(b) under the Securities Act of 1933, as amended, shall be deemed to be incorporated by reference into this Form 8-A.
