Item 5.02              Departure of Directors or Certain Officers; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On August 30, 2010, the Company announced that Joseph Saponaro has submitted his resignation as a director of ATS Corporation, effective immediately.  Due to other obligations, Mr. Saponaro will not be able to complete his full term.   Mr. Saponaro has served as a director since May 2006.
