Item 8.01.  Other Events.

On March 17, 2022, the Board of Directors of RBC Bearings Incorporated (the “Company”) declared a $1.25 per share dividend on the Company’s 5.00% Series A Mandatory Convertible Preferred Stock payable on April 15, 2022 to holders of record on April 1, 2022. The aggregate amount of the dividend will be $5,750,000.
