The option vests in four equal annual installments beginning on February 19, 2022.
The vesting of the performance-based restricted stock units, and the corresponding issuance of shares of common stock, is based on the Issuer's performance with respect to the return on average assets financial metric over the three-year period ending December 31, 2023. If, at the end of the performance period, the metric is at the 40th percentile of the peer group, 75% of the shares will vest. If the metric is at the 60th percentile, 100% of the shares will vest. If the metric is at the 80th percentile, 175% of the shares will vest. Vesting is pro rata between these percentile levels, and there is no vesting if the metric is below the 40th percentile.
