Explanatory Note

This Current Report on Form 8-K/A (this “Amendment”) amends the Current Report on Form 8-K dated February 28, 2018, filed by Eagle Bulk Shipping Inc. (the “Company”) with the U.S. Securities and Exchange Commission (the “Original Form 8-K”). The sole purpose of this Amendment is to provide the deadline for shareholder nominations or shareholder proposals in accordance with the Company’s Second Amended and Restated By-laws, which was inadvertently omitted from the Original Form 8-K. No other changes have been made to the Original Form 8-K.

Item 8.01.    Other Events.

The Board of Directors of Eagle Bulk Shipping, Inc., a Republic of the Marshall Islands corporation (the “Company”), has established that the 2018 Annual Meeting of Shareholders (the “2018 Annual Meeting”) will be held on May 10, 2018 at the time and location that will be set forth in the Company’s proxy statement for the 2018 Annual Meeting.

For a shareholder proposal, including a proposal for the nomination of directors, to be considered for inclusion in the Company’s proxy statement for the 2018 Annual Meeting pursuant to Rule 14a-8 of the Securities Exchange Act of 1934, as amended, the Secretary of the Company must receive the written proposal no later than March 2, 2018, as previously disclosed in the proxy statement for the 2017 Annual Meeting of Shareholders.

For a shareholder who wishes to nominate a director or present a proposal at the 2018 Annual Meeting, but does not intend for the nomination or proposal to be included in the Company’s proxy statement for the 2018 Annual Meeting, the Secretary of the Company must receive advance notice of such proposal in accordance with the requirements set forth in the Company’s Second Amended and Restated By-laws and no later than March 10, 2018.
