Item 8.01. Other Events.

As previously disclosed, on March 6, 2007, Eagle Bulk Shipping Inc. (the “Company”) completed the sale of 5,400,000 shares of the Company’s common stock, par value $0.01 per share, pursuant to an Underwriting Agreement dated February 28, 2007. On March 20, 2007, the underwriter exercised its option, granted to it under the Underwriting Agreement, to purchase an additional 413,819 shares (the “Additional Shares”) of the Company’s common stock to cover over-allotments. Closing of the sale of the Additional Shares occurred on March 23, 2007, resulting in net proceeds to the Company, in respect of the Additional Shares, of approximately $7.6 million before expenses.
