Item 8.01        Other Events
 
    Eagle Bulk Shipping Inc. (the “Company”) has been made aware of a purported shareholder derivative action attempting to set forth claims on behalf of the Company against certain of its present and former officers and directors.  The complaint asserts, among other things, breach of fiduciary duty involving adjournment of this year’s annual meeting of shareholders, compensation policies and the arrangements between the Company and Delphin Shipping LLC.  The complaint has been filed in the United States District Court for the Southern District of New York.  The Company is reviewing the allegations in the complaint but believes them to be without merit and intends to defend the action vigorously.
