EXPLANATORY NOTE

 

On June 24, 2014, HudBay Minerals Inc. (“Hudbay”) filed on the Canadian Securities Administrators’ System for Electronic Document Analysis and Retrieval (SEDAR) website at www.sedar.com the following documents: (i) a material change report relating to Hudbay’s June 23, 2014 announcement that it entered into a definitive support agreement with Augusta Resource Corporation (“Augusta”) pursuant to which Hudbay has agreed to increase the consideration that will be received by Augusta shareholders under Hudbay’s offer to purchase all of the issued and outstanding common shares of Augusta (the “Augusta Shares”) not already owned by Hudbay (the “Revised Offer”) and (ii) an early warning report under National Instrument 62-103 with respect to the Revised Offer.
