On February 14, 2014, HudBay Minerals Inc. (“Hudbay”) filed on the Canadian Securities Administrators’ System for Electronic Document Analysis and Retrieval (SEDAR) website at www.sedar.com a Material Change Report announcing the offer (the “Offer”) to purchase all of the issued and outstanding common shares of Augusta Resource Corporation not already held by Hudbay.  The Material Change Report is attached to this Form 6-K as Exhibit 99.1 and incorporated herein by reference to Hudbay's filing pursuant to Rule 425 on February 14, 2014.
