EXPLANATORY NOTE

On December 14, 2016, HudBay Minerals Inc. (“Hudbay”) filed on the Canadian Securities Administrators’ System for Electronic Document Analysis and Retrieval (SEDAR) website at www.sedar.com an Indenture existing among Hudbay, certain Guarantors and U.S. Bank National Association, as Trustee, dated as of December 12, 2016, in respect of Hudbay's 7.250% senior notes due 2023 and 7.625% senior notes due 2025. A copy of the filing is attached to this Form 6-K and incorporated herein by reference as Exhibit 99.1.
