The following constitutes Amendment No. 10 to the Schedule 13D filed by the undersigned (“Amendment No. 10”). This Amendment No. 10 amends the Schedule 13D as specifically set forth herein.

Item 2.Identity and Background.

Item 2 is hereby amended to add the following:

Each of Peter G.J. Kukielski, Daniel Muñiz Quintanilla, Richard Nesbitt and David S. Smith are no longer members of the Section 13(d) group and shall cease to be a Reporting Person immediately after the filing of this Amendment No. 10. The remaining Reporting Persons will continue filing as a group statements on Schedule 13D with respect to their beneficial ownership of securities of the Issuer to the extent required by applicable law. Each of the remaining Reporting Persons is party to the Joint Filing Agreement, as further described in Item 6 below.

Item 4.Purpose of Transaction.

Item 4 is hereby amended to add the following:

On May 3, 2019, WGRM Inc. entered into a settlement agreement with the Issuer (the “Settlement Agreement”) regarding the composition of the Issuer’s Board of Directors (the “Board”) and certain other matters. Pursuant to the terms of the Settlement Agreement, at the Issuer’s 2019 annual and special meeting of shareholders (the “2019 Annual Meeting”), (i) the Issuer will nominate the following slate of 11 individuals for election as directors: Carol T. Banducci, Igor A. Gonzales, Alan Hair, Alan R. Hibben, Richard Howes, Sarah B. Kavanagh, Carin S. Knickel, Peter Kukielski, Daniel Muñiz Quintanilla, Colin Osborne and David Smith (the “2019 Nominees”), (ii) no individual other than the 2019 Nominees shall be nominated for election by the Issuer or WGRM Inc. and certain of its affiliates (collectively, “Waterton”), and (iii) the Issuer and Waterton shall each solicit, obtain proxies in favor of and otherwise support the election at the 2019 Annual Meeting of the 2019 Nominees.

Pursuant to the terms of the Settlement Agreement, the Issuer agreed, among other things, that following the 2019 Annual Meeting, the Corporate Governance and Nominating Committee of the Board (excluding Mr. Hibben) will initiate a process to identify a suitable successor to Mr. Hibben as Chair of the Board. Current Chair, Mr. Hibben, will serve as Chair until a successor is appointed and in any event not later than the conclusion of the 2020 annual meeting of shareholders (the “2020 Annual Meeting”). In addition, Mr. Hibben will not stand for re-election at the 2020 Annual Meeting.

Under the Settlement Agreement, so long as Waterton continues to beneficially own, and have net economic exposure to, at least 5% of the issued and outstanding Shares, the Issuer also agreed, among other things, (i) to nominate Peter Kukielski, Daniel Muñiz Quintanilla and David Smith (the “Waterton Nominees”) at the 2020 Annual Meeting as well as any special meeting of shareholders of the Issuer prior to the Termination Date (as defined below), (ii) to appoint one Waterton Nominee as promptly as practicable to each standing committee of the Board that exists upon the conclusion of the 2019 Annual Meeting, (iii) if a Waterton Nominee resigns or is removed as a director or is otherwise unwilling or unable to serve as a director for any reason, including as a result of death or disability prior to the Termination Date, Waterton shall be entitled to designate a replacement director as a substitute director, subject to certain conditions, and (iv) the Board will consist of no more than 11 directors until the day following the 2020 Annual Meeting.

Pursuant to the terms of the Settlement Agreement, effective as of the date of the Settlement Agreement through the date that is the earlier of (1) the day following the Issuer’s 2020 Annual Meeting and (2) June 3, 2020 (the “Termination Date”), Waterton agreed, among other things, (i) to be represented in person or by proxy at the 2019 Annual Meeting, the 2020 Annual Meeting and each other meeting of the Issuer’s shareholders or otherwise cause all Shares that Waterton beneficially owns or exercises control or direction over to be counted as present for purposes of establishing a quorum; (ii) to vote all Shares that Waterton beneficially owns or exercises control or direction over on the Issuer’s proxy or voting instruction form in favor of (A) each of the directors nominated by the Board and recommended by the Board for election to the Board (and not in favor of any other nominees for election to the Board), (B) in respect of the 2019 Annual Meeting, each other matter or proposal recommended for shareholder approval by the Board in the Issuer’s management information circular dated April 5, 2019 and (C) in respect of any meeting other than the 2019 Annual Meeting, each other routine matter or proposal recommended for shareholder approval by the Board; and (iii) subject to certain exceptions, to not execute any proxy or voting instruction form in respect of such shareholders’ meeting other than the proxy or voting instruction form being solicited by or on behalf of management of the Issuer; provided that Waterton shall have the right to vote in its sole discretion with respect to any non-routine matters or proposals presented for shareholder consideration at such meeting.

In addition, Waterton agreed to certain customary standstill provisions, effective as of the date of the Settlement Agreement through the Termination Date. The standstill provisions generally restrict Waterton’s abilities to engage in certain proxy solicitations, initiate change of control transactions involving the Issuer, make certain shareholder proposals, call meetings of shareholders, solicit consents from shareholders, try to obtain additional representation on the Board or seek to remove any of the Issuer’s directors. Also, under the standstill provisions, Waterton has agreed not to acquire beneficial ownership in excess of 15% of the Shares then outstanding.

The foregoing description of the Settlement Agreement is qualified in its entirety by reference to the Settlement Agreement, which is attached as Exhibit 99.1 hereto and is incorporated herein by reference.

On May 3, 2019, Waterton entered into the Settlement Agreement as further described in Item 4. A copy of the Settlement Agreement is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

On May 7, 2019, the remaining Reporting Persons entered into a Joint Filing Agreement in which the remaining Reporting Persons agreed to the joint filing on behalf of each of them of statements on Schedule 13D with respect to the securities of the Issuer to the extent required by applicable law. The Joint Filing Agreement is attached hereto as Exhibit 99.2 and is incorporated herein by reference.
