This Registration Statement on Form S-8 (this “Registration Statement”) of MyMD Pharmaceuticals, Inc. (the “Company”) has been prepared in accordance with the requirements of Form S-8 under the Securities Act to register the following shares of the Company’s common stock, no par value per share (“Common Stock”):

 

  up to 235,790 shares of Common Stock available for issuance pursuant to restricted stock units outstanding under the 2018 Equity Incentive Plan (as amended, the “2018 Plan”);
  up to 2,999,040 shares of Common Stock issuable pursuant to restricted stock units and stock options outstanding under the 2021 Equity Incentive Plan (the “2021 Plan”); and
  up to 4,229,144 shares of Common Stock available for issuance pursuant to unissued stock awards under the 2021 Plan.

Limitation on Liability of Directors

 

To the fullest extent permitted by the laws of the State of New Jersey, Article IX of the Certificate of Incorporation eliminates the personal liability of all current and former directors and officers to the Company or the Company’s stockholders for any damages for breach of any duty owed to the Company or its stockholders, except that the provisions of Article IX of the Certificate of Incorporation shall not relieve a director or officer from liability for any breach of duty based upon an act or omission (a) in breach of such person’s duty of loyalty to the Company or its stockholders, (b) not in good faith or involving a knowing violation of law or (c) resulting in receipt by such person of an improper personal benefit.
