The attached slide show was filed with the Securities and Exchange Commission as part of a Form 8–K by Courtside Acquisition Corp. (“Courtside”) on May 15, 2007. Courtside is holding presentations for certain of its stockholders, as well as other persons who might be interested in purchasing Courtside’s securities, regarding its proposed acquisition of substantially all of the assets of American Community Newspapers LLC (“ACN” or the “Company”) and its affiliated subsidiary, as described in the Form 8–K. The attached slide show was filed with the Securities and Exchange Commission as part of a Form 8–K by Courtside Acquisition Corp. (“Courtside”) on May 15, 2007. Courtside is holding presentations for certain of its stockholders, as well as other persons who might be interested in purchasing Courtside’s securities, regarding its proposed acquisition of substantially all of the assets of American Community Newspapers LLC (“ACN” or the “Company”) and its affiliated subsidiary, as described in the Form 8–K. EarlyBirdCapital, Inc. (?EBC”), the managing underwriter of Courtside’s initial public offering (“IPO”) consummated in June 2005, is assisting Courtside in these efforts without charge, other than the reimbursement of its out-of-pocket expenses. Courtside and its directors and executive officers and EBC may be deemed to be participants in the solicitation of proxies for the special meeting of Courtside stockholders to be held to approve the acquisition.
