Hello Everi-one,

It has been a few weeks since our last employee communication, and we have been pleased to hear positive feedback regarding the Fireside Chat with Vince Sandusky and Fabio Celadon. We’re glad you were able to better understand their vision for this pending merger and how much they value Everi’s people and culture.

I also want to thank you for the candid feedback on our Town Hall presentation. As you could see, we took your suggestions and created a product-centric presentation that highlighted the incredible work of our teams and the impact it has on our customers. We enjoyed responding to the questions you submitted for our Q&A segment, and we appreciate your taking the time to write such thoughtful questions about our current strategy and product initiatives.

As for the latest update on the anticipated merger, I can share with you that the waiting period for the Hart-Scott-Rodino Act (HSR Act) expired on May 23, 2024, without our receiving a second request from the DOJ. The HSR Act is a United States federal law that requires certain proposed mergers and acquisitions to undergo a review process by the Federal Trade Commission (FTC) and the Antitrust Division of the Department of Justice (DOJ) before they can be completed.

Deal Closure:
One of the primary benefits is that it allows the companies involved in the merger or acquisition to proceed with closing the transaction, subject to the deal terms and other applicable regulatory requirements.

Time to Close:
In some circumstances, the waiting period under the HSR Act can take quite some time to complete when it comes to consummating a transaction. Now that the waiting period has expired without a second request, the parties can focus on accelerating their efforts to close the transaction as quickly as possible, subject to the terms of the deal and other applicable regulatory requirements.

Reduced Uncertainty:
The expiration of the waiting period provides greater certainty to the companies involved in the transaction.
Ultimately, we continue to make progress towards the closing of the pending merger. There is still a lot of work ahead to close the anticipated transaction and integrate the two companies, and we will keep you updated on our progress.

Q: Decisions for pay adjustments and promotions normally happen at the end of the year and are announced at the beginning of the year. Will the timing change this year?
A: It is our understanding that IGT and Everi have a similar cadence for pay adjustments and promotions. Currently, we would not expect any change in the timing of pay adjustments or promotions. If the transaction is closed late in 2024 or early 2025, the merged organization likely would require a little more collaboration to complete the process.
