(e) On December 5, 2008, the Compensation Committee of the Board of Directors of ev3 Inc. approved a revised compensation package for Stacy Enxing Seng in connection with her new position as Executive Vice President and President, U.S. Peripheral Vascular. Under the new package, Ms. Enxing Seng will be paid an annual base salary of $356,000 effective immediately and will be entitled to earn an annual target incentive bonus of up to 65% of her annual base salary, which will be effective immediately but prorated for purpose of determining her annual bonus for 2008.
