Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Federal Home Loan Bank of San Francisco ("Bank") Director Gregory A. Kares, a senior vice president of Wachovia Mortgage, FSB, North Las Vegas, Nevada ("Wachovia"), has informed the Bank that he will no longer be an officer of Wachovia, effective March 28, 2009. As of that date, Mr. Kares will no longer qualify for the director position he currently holds on the Bank's Board of Directors and that position will become vacant. Under the rules of the Federal Housing Finance Agency, the Bank's Board of Directors will be required to select an officer or director of a Bank member located in Nevada to fill the director position vacated by Mr. Kares. The current term of that position ends December 31, 2012.
