Item 7.01.

Regulation FD Disclosure.

Notes Offering

On January 19, 2022, Builders FirstSource, Inc. (“Builders FirstSource” or the “Company”) issued a press release to announce that it intends, subject to market and other conditions, to offer (the “Offering”) $300 million aggregate principal amount of its 4.250% Senior Notes due 2032 (the “Notes”) as set forth in a preliminary offering memorandum dated January 19, 2022. The Notes will form part of the same series as the $1 billion aggregate principal amount of 4.250% Senior Notes due 2032 issued on July 23, 2021.

Any Notes issued in connection with the Offering would be issued in a private transaction that is exempt from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”), to persons reasonably believed to be “qualified institutional buyers,” as defined in and in accordance with Rule 144A under the Securities Act, and to non-U.S. persons outside of the United States pursuant to Regulation S under the Securities Act. Accordingly, the Notes and the related guarantees will not be registered under the Securities Act and the Notes and the related guarantees may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act. This Current Report is neither an offer to sell nor a solicitation of an offer to buy the Notes or any other securities and shall not constitute an offer, solicitation or sale in any jurisdiction in which such offer, solicitation or sale would be unlawful.

ABL Borrowings as of December 31, 2021

As of December 31, 2021, the Company had borrowings of $588.0 million outstanding under its ABL facility (the “ABL Facility”), the proceeds of which were used to fund recently completed acquisitions and for general corporate operations, including working capital purposes. The Company intends to enter into an amendment to its ABL Facility to increase the revolving commitments thereunder by up to $300 million shortly after the consummation of the Offering.

This information is based upon the Company’s estimates and currently available information, and is subject to revision as a result of, among other things, the completion of its financial closing procedures, the completion of its financial statements for such period and the completion of other operational procedures. Builders FirstSource Launches Offering of $300 Million of Senior Notes due 2032

January 19, 2022 (DALLAS, TX) – Builders FirstSource, Inc. (NYSE: BLDR) (“Builders FirstSource” or the “Company”) today announced that it has launched an offering of $300 million aggregate principal amount of its 4.250% Senior Notes due 2032 (the “Notes”). The Notes will form part of the same series as the $1 billion aggregate principal amount of 4.250% Senior Notes due 2032 issued on July 23, 2021.

The Company intends to use the net proceeds from the offering to repay a portion of the indebtedness outstanding under its senior secured ABL facility and to pay related transaction fees and expenses.

Consummation of the offering of the Notes is subject to market and other conditions, and there can be no assurance that the Company will be able to successfully complete these transactions on the terms described above, or at all.

The Notes will not be registered under the Securities Act of 1933, as amended (the “Securities Act”), or any state securities law and may not be offered or sold within the United States or to or for the account of any U.S. person, except pursuant to an exemption from the registration requirements thereof. Accordingly, the Notes will be offered and sold only to (i) persons reasonably believed to be “qualified institutional buyers” (as defined in Rule 144A under the Securities Act) and (ii) non-“U.S. persons” who are outside the United States (as defined in Regulation S under the Securities Act).
