1. The shares are held by EW Healthcare Partners L.P. ("EWHP") and EW Healthcare Partners-A L.P. ("EWHP-A"). The reporting person is a manager of the entity that is the general partner of the general partner of EWHP and EWHP-A, which own the reported securities. The reporting person disclaims beneficial ownership of the reported securities except to the extent of his pecuniary interest therein.
