EMAIL TO EMPLOYEES

Subject Line: Merger Timing Update for Employees

Team – many of you saw KAYAK and Priceline’s announcement on Friday stating that the UK Office of Fair Trading (“OFT”) has invited public comment on the proposed merger of KAYAK and Priceline and that we are unable to anticipate when the OFT’s review will be concluded. The special meeting of stockholders, at which we will tally the shareholder vote to approve the merger, will still be held on March 4, but the closing will not take place next week. KAYAK will announce the closing date of the proposed merger when that date has been set. This also means that you will not be able to trade (exercise options and sell stock) during what was the potential post-closing trading window next week. We will provide more information when it is available. If you have further questions, please call me. Thank you.
