ITEM 2.02   RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On March 31, 2009, MMC Energy, Inc. (the “Company”), issued a press release announcing its results of operations for the year ending December 31, 2008 as well as various forward-looking statements regarding the Company’s facility upgrade projects and other matters.

The press release is attached hereto as Exhibit 99.1 to this Current Report Form 8-K.
