ITEM 3.02

UNREGISTERED SALES OF EQUITY SECURITIES


On Sept. 9, 2006, the Company issued 17,802,000 shares of restricted common stock to Fred L. Hall, the Company’s sole officer and director in exchange for $17,811 cash.  The securities were sold in a private transaction and issued in reliance of the exemption provided by Section 4(2) of the Securities Act of 1933.  The transaction did not involve any public offering or broker and no commissions were paid on the transaction.


As a result of the share issuance, the Company now has 50,000,000 total shares issued and outstanding of which Fred L. Hall owns a total of 32,189,000 shares which represents 64.38% of the total issued and outstanding.
