Shareholder Meeting Notice

The 2022 Annual Meeting of Shareholders of Green Plains Inc. will be held at 10:00 a.m., Central Daylight Time, on Wednesday, May 4, 2022 to be held virtually at www.meetnow.global/MWM66HR. To access the virtual meeting, you must have the information that is printed on the shaded bar located on the reverse side of this form.

Proposals to be voted on at the meeting are listed below along with the Board of Directors’ recommendations.

The Board of Directors recommends a vote FOR all nominees listed in Proposal 1, a vote FOR Proposal 2, a vote FOR Proposal 3, a vote FOR Proposal 4, and a vote FOR Proposal 5.

To elect two directors to serve three-year terms that expire at the 2025 annual meeting: Farha Aslam, Martin Salinas Jr.

To ratify the appointment of the Company’s auditors

To cast an advisory vote to approve the Company’s executive compensation

To approve the increase to the number of authorized shares of common stock

To approve the proposal to declassify the Company’s Board of Directors

To transact such other business as may properly come before the Annual Meeting or any adjournment or postponement thereof
