I am writing to inform you of another milestone for Consolidated Communications. We recently announced an agreement to be acquired by Searchlight Capital and British Columbia Management Corporation. We expect to close this transaction by the first quarter of 2025, at which time Consolidated would become a privately-held company. Over the past several years, we have taken significant steps to advance our fiber expansion strategy. As a private company with Searchlight and BCI as partners, we believe we’ll be better positioned to execute on our fiber expansion plans as we further bridge the digital divide across our communities through best-in-class, high speed fiber broadband services.

 

Searchlight is an experienced investor with a successful track record of supporting companies like ours. Searchlight and BCI approach partnerships with a focus on collaboration and an emphasis on building even stronger companies, and they have been extremely thoughtful about the experience, resources and investment required to grow our business. We’re excited to join forces and leverage our expertise to take advantage of the potential opportunities in front of us.

 

I want to emphasize that today’s announcement has no impact on our relationship with you. We expect this to be a seamless transition and our commitment to serving our customers and meeting their needs remains as strong as ever. We will continue executing on our fiber buildout plans as previously announced, with our estimated fiber build completion extending beyond 2026.
