Item 8.01.    Other Events.

On July 25, 2014, the Board of Directors of BankFinancial Corporation (the “Company”) declared a cash dividend of $0.02 per common share. The dividend will be payable on August 29, 2014 to stockholders of record on August 13, 2014. As previously described in filings made with the Securities and Exchange Commission, the Board of Directors of the Company will evaluate dividends for future quarters in the context of any applicable requirements of the Federal Reserve Board, including Federal Reserve Board Supervisory Letter SR 09-4.

BankFinancial Corporation Declares Cash Dividend

Burr Ridge, Illinois - (July 25, 2014) BankFinancial Corporation (Nasdaq – BFIN) announced that its Board of Directors declared a cash dividend of $0.02 per common share. The dividend will be payable on August 29, 2014 to stockholders of record on August 13, 2014.

BankFinancial Corporation is the holding company for BankFinancial, F.S.B., a full-service, community-oriented bank providing financial services to individuals, families and businesses through 19 full-service banking offices, located in Cook, DuPage, Lake and Will Counties, Illinois. At March 31, 2014, BankFinancial had total assets of $1.449 billion, total loans of $1.098 billion, total deposits of $1.253 billion and stockholders’ equity of $177 million.
