EXPLANATORY NOTE

This Registrant is filing this amendment (“Amendment”) to its Form N-CSR for the year ended February 29, 2016 (the “Report”), originally filed with the Securities and Exchange Commission on May 5, 2016 (Accession Number 0001193125-16-579491) to reflect a change in the audit committee financial expert under Item 3(a)(2) which was erroneously omitted.

Except as otherwise noted above, the Report was accurate, timely distributed to shareholders, as applicable, and contained all information required per Form N-CSR.

Items 1 through 3(a)(1) and Items 3(a)(3) through 12 to this Amendment to the Registrant’s Form N-CSR are incorporated by reference to the Form N-CSR filed on EDGAR on May 5, 2016 (Accession Number 0001193125-16-579491).


ITEM 3. AUDIT COMMITTEE FINANCIAL EXPERT.

 

(a) (2) If the registrant provides the disclosure required by paragraph (a)(1)(i) of this Item, it must disclose the name of the audit committee financial expert and whether that person is “independent.” In order to be considered “independent” for purposes of this Item, a member of an audit committee may not, other than in his or her capacity as a member of the audit committee, the board of directors, or any other board committee:

(i) Accept directly or indirectly any consulting, advisory, or other compensatory fee from the issuer; or

(ii) Be an “interested person” of the investment company as defined in Section 2(a)(19) of the Act (15 U.S.C. 80a-2(a)(19)).

Effective January 1, 2016, James Schonbachler replaced Mitchell Merin as the audit committee financial expert. He is not an “interested person” of the Registrant and is also “independent” as defined by the U.S. Securities and Exchange Commission for purposes of audit committee financial expert determinations.
