Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.

On December 21, 2006, the Board of Directors of Horizon Lines, Inc. (the “Company”) appointed Norman Y. Mineta as a Class I director of the Company and to the executive committee of the Board of Directors of the Company, effective January 1, 2007. On December 20, 2006, Admiral James Holloway informed the Company of his decision to resign from his position as a member of the Company’s Board of Directors effective on December 31, 2006.

On December 21, 2006, the Company issued a press release announcing the appointment of Mr. Mineta as a director of the Company and the resignation of Admiral Holloway from the Board of Directors of the Company. A copy of this press release is attached hereto as Exhibit 99.1 and incorporated by reference.
