On November 30, 2006, the Board of Directors of Horizon Lines, Inc. (the “Company”) (i) appointed James W. Down as a Class III director of the Company and William J. Flynn as a Class II director of the Company and (ii) appointed Mr. Flynn to the compensation committee and the audit committee of the Board of Directors of the Company, in each case effective December 1, 2006. On November 30, 2006, the Company issued a press release announcing the appointment of Messrs. Down and Flynn as directors of the Company. A copy of this press release is attached hereto as Exhibit 99.1 and incorporated by reference.
