         Due to the registrant's recent initiatives and allocation of personnel
to expand the client base of its bank subsidiary, the registrant's staff was not
able to complete the required financial information and deliver it to the
registrant's independent public accountant for review in time to complete the
Quarterly Report on Form 10-QSB prior to the filing deadline.
