Education Realty Trust Announces Pricing of Common Stock Offering
 
MEMPHIS, Tenn., July 22, 2009 — Education Realty Trust, Inc. (NYSE: EDR) today announced that it has priced its public offering of 24,500,000 shares of its common stock at a price to the public of $4.35 per share. The offering was increased in size from the originally contemplated 21,000,000 shares of common stock. Additionally, the Company has granted the underwriters a 30-day option to purchase up to 3,675,000 additional shares of common stock to cover overallotments, if any, at the price to the public less the underwriting discount. Subject to customary conditions, the offering is expected to close on or about July 28, 2009. The net proceeds to the Company, after deducting the underwriting discount and estimated offering expenses, are expected to be approximately $101 million (exclusive of the underwriters’ overallotment option). BofA Merrill Lynch, KeyBanc Capital Markets Inc. and UBS Investment Bank are serving as joint book-running managers for the offering.

The Company intends to use the net proceeds from the offering to repay debt, including the outstanding balance under its revolving credit facility and a portion of the mortgage debt associated with the communities in its Place portfolio, and any additional net proceeds will be used for general corporate purposes.
