Item 8.01 Other Events.

On February 27, 2008, the Board of Directors of Benjamin Franklin Bancorp voted to set May 8, 2008 at 10:00 am as the date of the 2008 Annual Meeting of Stockholders. The Board of Directors also fixed the close of business on March 18, 2008 as the record date for determining stockholders entitled to notice of and to vote at the Annual Meeting.
