Item 8.01 Other Events.

Sound Revolution Inc. (“Sound Revolution”) previously announced that on August 2, 2005, Sound Revolution entered into a non-binding letter of intent with Old Charter Salvage, Inc. (“Old Charter”) to negotiate to enter into a merger agreement with Old Charter. As of September 15, 2005, Sound Revolution and Old Charter have ceased negotiations and will not be pursuing a merger.
