        <footnote id="F3">In connection with the closing of the IPO, and pursuant to a contribution agreement dated as of July 30, 2004, an entity owned by the reporting person contributed its interest in certain real estate property and related assets to the Issuer in exchange for Class A units of limited partnership interest in U-Store-It, L.P.  The public offering price for Common Shares as set forth in the Issuer's final prospectus relating to the IPO ($16.00) was used to determine the number of securities issued.</footnote>
