Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 16, 2010, the Board of Directors of Parks! America, Inc. (the “Company”) terminated Tristan Pico as the Company’s Chief Executive Officer and Secretary. The termination was effective immediately. The Board of Directors plans to identify a new Chief Executive Officer in early 2011 and will re-allocate the Chief Executive Officer’s responsibilities in the interim. Mr. Pico remains a member of the Company’s Board of Directors.
