ITEM 1.01  Entry into a Material Definitive Agreement.

On June 11, 2008, DreamWorks Animation SKG, Inc. (the “Company”) entered into an aircraft sublease agreement (the “Sublease”) with an entity controlled by Jeffrey Katzenberg, the Company’s Chief Executive Officer, for use of an aircraft that such entity leases from the aircraft owner, a company jointly owned indirectly by Mr. Katzenberg and Steven Spielberg (who beneficially owns more than 5% of the Company’s Class A Common Stock). Under this Sublease, the Company pays all aircraft operating expenses on Mr. Katzenberg’s Company-related flights. In addition, in the event that Mr. Katzenberg uses this aircraft for Company-related travel more than 45 hours in any calendar year, the Company pays the subleasing entity a specified hourly rate (depending on the number of passengers traveling on Company business), less the fuel expense and flight attendant costs for those flight hours.
