Item 3.02 Unregistered Sales of Equity Securities.

Effective on September 30, 2010, Douglas Lake Minerals Inc. (the "Company") issued a total of 16,666,667 restricted common shares, at a deemed price of $0.15 per common share for a total deemed price of $2,500,000 pursuant to a transaction fee agreement in connection with the Company's entry into a mineral property acquisition agreement with IPP Gold Limited on September 21, 2010.

The common shares were issued outside the United States to one non-U.S. Person (as such terms are defined in Regulation S of the United States Securities Act of 1933, as amended (the "Securities Act")) in reliance on Regulation S and/or Section 4(2) of the Securities Act.
