This Amendment No. 10 (this “Amendment”) amends and supplements the Tender Offer Statement on Schedule TO filed with the Securities and Exchange Commission (the “SEC”) on January 25, 2010 and previously amended by Blush Acquisition Corporation, a Delaware corporation (“Purchaser”) and an indirect wholly owned subsidiary of Shiseido Company, Limited, a corporation organized under the laws of Japan (“Shiseido”).  The Schedule TO relates to the offer by Purchaser (the “Offer”) to purchase all outstanding shares of Common Stock, par value $.001 per share (the “Shares”), of Bare Escentuals, Inc., a Delaware corporation (the “Company”), at a purchase price of $18.20 per Share, net to the seller in cash, upon the terms and subject to the conditions set forth in the Offer to Purchase dated January 25, 2010 (the “Offer to Purchase”) and in the related Letter of Transmittal (which, together with the Offer to Purchase and any amendments or supplements thereto, collectively constitute the “Offer”).
 
The information set forth in the Offer to Purchase, including all schedules thereto, and the related Letter of Transmittal is incorporated herein by reference with respect to all of the applicable items in the Schedule TO, except that such information is hereby amended and supplemented to the extent provided herein.  Capitalized terms used and not defined herein shall have the meanings set forth in the Offer to Purchase.

Additional Information.
 
Item 11 of the Schedule TO is amended and supplemented by adding the following:
 
“The subsequent offering period expired at 12:00 midnight, New York City time, on Thursday, March 11, 2010. The depositary for the tender offer has advised Shiseido that, as of the expiration of the subsequent offering period, approximately 79,703,784 shares were validly tendered (including shares tendered during the subsequent offering period), representing approximately 86.58% of all outstanding shares of the Company.  All shares that were validly tendered and not properly withdrawn in the initial offering period have been accepted and payment for the shares has been or will be made, at the offer price of $18.20 per share, net to the seller in cash, without interest and less any applicable withholding taxes.
 
Following the expiration of the subsequent offering period and the indirect acquisition of 4,710,963 shares by Purchaser on March 12, 2010 through certain transactions with Leslie Blodgett, the Company’s Executive Chair, and an affiliated trust, Shiseido intends to complete the acquisition of the Company through a “short-form” merger under Delaware law. As a result of the merger, any shares of the Company not tendered (except for shares held in the treasury of the Company or owned by Shiseido or Purchaser or any direct or indirect subsidiary of Shiseido, Purchaser or the Company or shares for which appraisal rights are properly demanded) will automatically be cancelled and converted into the right to receive the same
 

 
$18.20 in cash per share, without interest and less any applicable withholding taxes, that was paid in the tender offer.  Following the merger, the Company will continue as the surviving corporation and will be an indirect subsidiary of Shiseido. In addition, the Company’s common stock will cease to be traded on the NASDAQ Global Select Market and the Company will no longer have reporting obligations under the Securities Exchange Act of 1934.”
